1. Definitions
Contractor: Klyvorian Media, Chamber of Commerce (KVK) 97471542, VAT ID NL005272588B54. Client: the party commissioning the design, development or maintenance of a website.
2. Applicability
These terms apply to all quotes, assignments and agreements between the contractor and the client.
3. Quotes and pricing
All prices include 21% VAT. Quotes are valid for 30 days. External costs (such as domain registration, paid software or third-party services) are not included unless explicitly stated, and are discussed upfront.
4. Delivery and feedback rounds
The number of feedback rounds depends on the chosen package. Additional changes beyond the agreed rounds are discussed upfront and may be charged separately.
5. Content
The client is responsible for supplying text and images on time and guarantees that these are free of third-party rights.
6. Payment
A deposit of 50% of the agreed amount is due at the start of the assignment. The remainder is invoiced upon delivery. The payment term is 14 days from the invoice date, unless otherwise agreed in writing.
7. Klyvorian Care
The maintenance plan costs €49/month. Minor changes are covered within the agreed maintenance time. New pages, complete redesigns, web shops and major functional changes are excluded. Notice period: one month.
8. Results
The contractor commits to a best-efforts obligation. No guarantees are given regarding search rankings, visitor numbers, leads or revenue.
9. Intellectual property
Upon full payment, ownership of the delivered design and custom code transfers to the client. The contractor retains the right to reference the work in its own portfolio, unless otherwise agreed in writing.
10. Liability
The contractor's liability is limited to the invoiced amount of the assignment in question. The contractor is not liable for indirect damage, including consequential loss, lost profits or missed savings.
11. Governing law
These terms are governed by Dutch law.
